These Terms of Use, hereinafter referred to as the “Terms”, establish the agreement between You — the user — and DHB Tools — the provider of software and related services at dhbtools.com. By registering an account or using any DHB Tools software, You confirm that You have read, understood, and agree to be bound by all Terms below.
1. Definitions
- “DHB Tools”, “We” — the entity that owns and operates DHB Upload, DHB Render, DHB Stream Pro, DHB Youtube Manager, DHB GoLogin Manager, and other products.
- “Software” — all desktop applications, web dashboards, and command-line tools provided by DHB Tools.
- “License” — the right to use the Software within the scope and term purchased, linked to Your DHB Tools account.
- “User”, “You” — an individual or organization that has registered an account or is using the service.
- “Content” — the data You process with the Software, such as videos, images, text, profiles, and more.
2. User Accounts
2.1. Registration
- You must provide accurate information when registering. One individual may create only one primary account.
- You must be at least 16 years old or have the consent of a legal guardian to create an account.
- Accounts are personal and may not be transferred to another person without DHB Tools’ consent.
2.2. Account Security
- You are responsible for keeping Your login information secure and must not share Your password with anyone.
- You must notify DHB Tools immediately if You detect unauthorized access to Your account.
- All actions performed through Your account are deemed to have been performed by You, except where You have reported account takeover and can provide evidence.
3. License and Usage Rights
3.1. License Grant
When You purchase a product, You are granted a limited, non-exclusive, non-transferable license for personal use or use within Your business according to the scope of the purchased plan.
3.2. License Scope
- Each license allows use with the number of accounts/streams within the limits of each specific plan.
- The license is linked to Your DHB Tools account — You may use it on multiple of Your machines; only one active login is kept at a time (logging in on a new machine signs out the previous one).
- The license term starts from the time of successful activation and is not backdated to the purchase time.
3.3. PROHIBITED Actions
- Copying, modifying, reverse engineering, decompiling, or attempting to obtain the Software source code.
- Reselling, renting, sublicensing, redistributing the Software or license in any form.
- Sharing a DHB Tools account among multiple users to bypass plan limits.
- Using the Software to perform actions that violate Vietnamese law, third-party platform policies such as YouTube, Facebook, TikTok, or the rights of others.
- Using the Software to distribute harmful content such as malware, scams, copyright-infringing content, child sexual abuse material, or content inciting violence.
- Intentionally disrupting DHB Tools services or third-party services through the Software.
4. Payment, Renewal, and Refunds
4.1. Pricing and Currency
All prices displayed on the website include applicable taxes, if any, and are stated in Vietnamese Dong, VND. DHB Tools may adjust pricing; changes apply to orders placed after the adjustment and are not retroactive to licenses already purchased.
4.2. Payment
- Payment method: bank transfer only — details are shown on the order page.
- The license is activated after DHB Tools confirms full payment has been received. The usual confirmation time is a few minutes to 2 business hours.
- You are responsible for any third-party transaction fees, such as bank or wallet fees, if applicable.
4.3. Renewal
- Term licenses, such as 1 month / 3 months / 6 months, do not renew automatically — You renew them manually before or after expiration.
- Continuous renewal before the license expires adds the usage time to the current expiration date.
- Lifetime licenses do not require renewal.
4.4. Refunds
DHB Tools applies a conditional refund policy as described on the FAQ page. Summary:
- 100% refund within the first 7 days if the Software does not work as described and DHB Tools cannot resolve the issue.
- No refund for the reason “does not fit my needs” after more than 7 days of use.
5. Software Updates
- DHB Tools regularly releases updates to fix bugs and add features. During the license term, You may use updates free of charge.
- Some updates may change the interface or how features work — DHB Tools provides advance notice via the website and in-app notifications when important changes occur.
- When an update requires a newer operating system or higher configuration, DHB Tools will notify You and allow You to choose whether to stop updating.
- DHB Tools may discontinue support for an old version after a reasonable period; You need to update to continue receiving technical support.
6. Intellectual Property
All Software, source code, documentation, images, logos, and the DHB Tools brand are the intellectual property of DHB Tools or its lawful licensors. Granting a license does not transfer any ownership rights.
Content that You create or process with the Software belongs to You. DHB Tools has no right to use, copy, or distribute that content.
7. User Responsibilities
- You are responsible for all content You upload, process, or distribute through the Software.
- You agree to comply with the terms of service of the social media platforms You operate, such as YouTube, Facebook, TikTok, Instagram, Threads, Twitter/X, and others. DHB Tools is not responsible if Your account is restricted, locked, or deleted by these platforms.
- You must not use the Software for unfair competition, to cause harm to third parties, or to violate the law.
- You are responsible for backing up important data. DHB Tools does not store Your content and cannot recover files deleted from Your device.
- When using AI features, You provide and pay for any third-party API keys/services (OpenAI, Whisper, TTS, translation, etc.) and comply with those providers’ terms.
8. DHB Tools Responsibilities
- Provide Software that works according to the description published at the time of purchase.
- Maintain the service and fix critical errors within a reasonable time.
- Provide technical support during the published support hours.
- Protect account information according to the Privacy Policy.
- Provide advance notice of important changes to the service or terms.
9. Limitation of Liability
To the extent permitted by law, DHB Tools’ maximum liability to You for any damage related to the Software or services shall not exceed the total amount You paid to DHB Tools in the most recent 12 months up to the time the incident occurred.
DHB Tools is not responsible for indirect, incidental, special, or consequential damages, including but not limited to:
- Loss of revenue, loss of profit, or loss of business opportunities.
- Loss of data on Your device, which You are responsible for backing up.
- Consequences arising from Your social media account being restricted or locked by a third-party platform.
- Losses caused by incidents or failures in third-party infrastructure, such as the Internet, payment platforms, or cloud services, that are outside DHB Tools’ control.
10. Suspension and Termination
10.1. By You
You may stop using the service at any time by requesting account deletion. Purchased licenses are not refundable unless they fall under the refund cases stated in Section 4.4.
10.2. By DHB Tools
DHB Tools may suspend or terminate Your account, including any unused license if there is a serious violation, in the following cases:
- You violate any term in Section 3.3, prohibited actions.
- You intentionally commit payment fraud or make an invalid chargeback.
- There is a lawful request from a government authority.
- You remain inactive for an extended period, over 24 months, after the license has expired.
In the event of termination due to violation, You are not entitled to any refund and must compensate for damages, if any.
11. Force Majeure
DHB Tools is not responsible for delay or failure to perform obligations due to force majeure events beyond its reasonable control, including natural disasters, epidemics, war, large-scale infrastructure disruption, or decisions by government authorities.
12. Changes to the Terms
DHB Tools may update these Terms. When important changes occur, we will notify You by email and website banner at least 15 days before they take effect. Your continued use of the service after the effective date means You accept the new terms. If You do not agree, You may stop using the service and request account deletion.
13. Governing Law and Dispute Resolution
These Terms are governed by and interpreted in accordance with the laws of Vietnam.
Any dispute arising shall first be resolved through good-faith negotiation between the two parties. If no agreement is reached within 30 days, the dispute will be submitted to the competent People’s Court for resolution in accordance with Vietnamese law.
14. General Terms
- If any provision in this document is declared invalid by a court, the remaining provisions remain enforceable.
- DHB Tools’ failure to enforce a right at any given time does not mean it waives that right in the future.
- These Terms, together with the Privacy Policy and referenced documents, constitute the complete agreement between the two parties.
